These Terms & Conditions (“Terms”) govern access to and use of any website, application, platform, service, or system operated by DataUniversa, Inc. (“DataUniversa,” “we,” “us,” or “our”), including all associated features, tools, and interfaces (collectively, the “Platforms”).
By accessing, using, registering for, or submitting any content or data through the Platforms, you agree to be bound by these Terms. If you do not agree, you may not use the Platforms.
1. Eligibility
The Platforms are intended solely for use by individuals who are 18 years of age or older.
By using the Platforms, you represent and warrant that you are at least 18 years old. Use by minors is strictly prohibited.
2. Accounts and Access
Certain features may require account registration. You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account.
We may suspend or terminate access at any time for violation of these Terms or for any lawful business reason.
3. User Submissions
3.1 Definition
“User Submissions” means any data, content, or material you submit, upload, transmit, record, or otherwise make available through the Platforms, whether directly or indirectly, including but not limited to:
- text, images, video, audio
- files, measurements, sensor data
- movement, biometric, or performance data
- metadata, timestamps, device data
- annotations, labels, or derived inputs
4. Data License & AI / ML Use (Core Provision)
4.1 License Grant
By submitting any User Submissions, you grant DataUniversa a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable, and sublicensable license to:
- use, host, store, copy, reproduce
- modify, adapt, transform
- analyze, aggregate, and anonymize
- create derivative works from
- distribute, display, and perform
such User Submissions, in whole or in part, for any lawful purpose.
4.2 AI / Machine Learning
Without limitation, this license expressly includes the right to:
- use User Submissions for training, testing, validating, and improving artificial intelligence and machine learning models;
- combine User Submissions with other data sources;
- generate synthetic, aggregated, or derivative datasets;
- use such models and datasets internally or commercially.
4.3 Commercial Use and Licensing
DataUniversa may commercially license, sell, or otherwise make available anonymized, aggregated, or derivative datasets and outputs derived from User Submissions to third parties.
4.4 Anonymization
User Submissions may be anonymized or de-identified. Once anonymized, such data cannot reasonably be linked back to you, and is not subject to deletion or revocation.
4.5 Survival After Deletion
This license survives account deletion, termination, or cessation of use with respect to anonymized, aggregated, or derivative data.
5. Ownership
You retain any rights you may have in original User Submissions, subject to the license granted above.
DataUniversa retains all rights in:
- aggregated datasets
- anonymized data
- derivative works
- trained models and outputs
6. Acceptable Use
You agree not to submit content that:
- violates any law or regulation
- infringes intellectual property or privacy rights
- is fraudulent, deceptive, or harmful
- contains malware or malicious code
We reserve the right to remove content or restrict access at our discretion.
7. Privacy
Our collection and use of personal data is described in the Privacy Policy, which is incorporated by reference.
The Privacy Policy explains data categories, anonymization practices, and user rights, but does not limit the license granted in Section 4.
8. Disclaimers
The Platforms are provided “AS IS” and “AS AVAILABLE.”
We make no warranties of any kind, express or implied, including fitness for a particular purpose or accuracy of outputs.
9. Limitation of Liability
To the maximum extent permitted by law, DataUniversa shall not be liable for indirect, incidental, consequential, or special damages, including lost profits or data.
Our total liability shall not exceed the amount paid by you to DataUniversa in the twelve (12) months preceding the claim, if any.
10. Indemnification
You agree to indemnify and hold harmless DataUniversa from claims arising out of your use of the Platforms or violation of these Terms.
11. Governing Law
These Terms are governed by the laws of the United States, without regard to conflict-of-law principles.
Venue shall lie in a court of competent jurisdiction selected by DataUniversa.
12. Changes
We may update these Terms from time to time. Continued use after updates constitutes acceptance.
